Raising Capital For Your Business? Here Is What You Will Need.

Raising capital for a start up or a mid size company can be hard or it can be easy if you know the right people or have the right resources. What is always important to have though is the right docs in order to have your project be legal and compliant.

You may already understand and know that an investor is going to want to see a business plan which includes what your company is about, your executive team biographies, financial projections, marketing plan, your accomplishments to date, and what your next set of goals are but there is more to it then just that. You need to file your Reg A or maybe you should file a Reg D. Both are very different.

Filing your Regulation form can be tricky depending on how you intend to raise capital and requires you to really spend the time researching to find out which one is right for you. To use my platform I’ll stick to what we require just to keep things simple which is: Regulation D, Form D.

Now you will need what is called a Offering Circular. An offering circular allows Investors to access a summary of information regarding an offering. It provides them with the important highlights of the long form Private Placement Memorandum. After the Investor becomes interested, it is crucial that they read the final PPM in order to view all of the details that may have been left out of the offering circular.

Next you will need a Investor Power Point Deck. Some Investors may wish to receive a power point presentation to help them fully comprehend the listed company’s offering.

Third, you will need a Private Placement Memorandum. A Private Placement (PPM) is an extremely complex document. The primary purpose of a PPM is to give the Entrepreneur the opportunity to present all potential risks to the Investor and provide the proper disclosure required by law.

Lastly, you will need your EDGARS Filing. While companies using Regulation D Exemption do not have to register their securities with the SEC, they must file Form D.
