El workshop organizado por LUFT Energía, presidida por Doris Capurro, y Chadbourne & Parke, liderada por Talbert Navia, en el Palacio Duhau Park Hyatt Hotel, reunió a funcionarios del gobierno nacional, directivos de bancos internacionales y entidades multilaterales de crédito junto con empresarios e inversores que debatieron sobre los mecanismos de financiamiento para desarrollar proyectos en el marco del Programa de Energías Renovables de Argentina.

La apertura estuvo a cargo de Sebastián Kind, subsecretario de Energías Renovables del Ministerio de Energía y Minería de la Nación, quien destacó que “Venimos tarde en lo que es la región en el desarrollo de las renovables, pero llegar tarde tiene dos buenas cosas: una es que estamos aprovechando la caída del precio de la tecnología, los contratos de Renovar son contratos a 20 años, en un horizonte de precio a la baja como viene sucediendo en el contexto internacional. Y en segundo lugar, Argentina tiene mucho que aprender de los mercados en donde esto se viene desarrollando y eso es lo que estamos haciendo”.

Luego de la exposición de muchos expertos internacionales en renovables, la representante del Banco Mundial, Ximena Talero, ratificó la decisión de la institución de aportar garantías para los proyectos en Argentina. En el mismo panel, participaron directivos de otras instituciones multilaterales de crédito -Banco Interamericano de Desarrollo (BID) y la Corporación Andina de Fomento (CAF)- y bancos comerciales -DNB, ICBC y HSBC- quienes coincidieron en señalar que el país se perfila para ser el próximo mercado de renovables.

Al almuerzo asistió el embajador de los Estados Unidos, Noah Mamet, quien -junto con la ex embajadora demócrata Julissa Reynoso (Ex-Embajadora de Estados Unidos en la República Oriental del Uruguay, Secretaria adjunta para América Central, el Caribe y Cuba en la Secretaría de Estado bajo el mandato de Hillary Clinton y socia del estudio jurídico Chadbourne & Parke) y el gobernador republicano George Pataki (Gobernador durante tres períodos consecutivos del estado de Nueva York, pionero en la promoción de energías renovables en los Estados Unidos y, Consejero del estudio jurídico Chadbourne & Parke)- conversaron con Doris Capurro y Talbert Nava, ante el público, sobre el impacto de las próximas elecciones estadounidenses en América Latina y, especialmente, en nuestro país.

El cierre del Workshop estuvo a cargo de Horacio Reyser, asesor de Presidencia en las Inversiones Extranjeras quien destacó que “Se necesita coraje de todas las partes: del gobierno, de los bancos y de los empresarios. Queremos que les vaya bien y nosotros tenemos las reglas bien claras, y buscamos apoyarlos en todo lo que emprendan”.

Al evento asistieron más de 200 personas entre las cuales se destacaron empresarios de las principales empresas energéticas del país y funcionarios del gobierno nacional. Entre ellos, Marcelo Mindlin, presidente de Pampa Energía y Pablo Quirno, Jefe de Gabinete de la Secretaría de Finanzas de la Nación, quienes tuvieron una activa participación.

Talbert Navia, a Harvard Law graduate, is co-head of the Latin America Practice and head of the Private Equity Group at Chadbourne. Mr. Navia represents US and Latin America based corporate and private equity clients in a broad range of areas. Mr. Navia has over 25 years of experience in Argentina, including many of the landmark transactions for leading companies in the country. Mr. Navia’s experience includes mergers & acquisitions, capital markets, financings, joint ventures and corporate restructurings. Mr. Navia also advises energy, construction and infrastructure clients in matters relating to public-private partnerships, concessions and project bonds. Doris Capurro

Founder and President of LUFT Energía, a company dedicated to renewable energies, both project development and the search of funding. Former Vice President of Corporate Affairs, Public and Institutional of YPF until the end of 2015. Doris also was Vice President of the YPF Foundation focused on social and environmental sustainability. More than 15 years ago she founded and still chairs CAP Comunicación which specializes in consulting PR, and Ibarómetro which is dedicated to market research and public opinion, after having sold her advertising agency Publicis to a multinational group. She is a teacher and lecturer at several universities in Argentina and Spain.

Sebastián Kind
Undersecretary of Renewable Energy of the Ministry of Energy and Mining of Argentina

Sebastián Kind has a Master of Science in Renewable Energy (EUREC Agency, Brussels University of Zaragoza; UTN Athens) and is a Mechanical Engineer (UTN). He was the creator and director of the Master of Renewable Energy at UTN. He served as Advisor to the Honorable Senate of the Nation in particular, he played a prominent role in the formulation of the new Renewable Energy Law of Argentina (Law 27 191) while part of Senator Guinle team. He was Project Evaluator in wind energy for the Ministry of Energy and Mining of Uruguay, Consultant to the Ministry of Energy of Chile and the Ministry of National Heritage and the German Cooperation Agency (GIZ) in the areas of renewable energy and bidding processes. He held executive positions in the renewable energy private sector in Buenos Aires and London. He has published more than thirty papers and presentations at international congresses devoted to renewable energy issues. He serves as Renewable Energy Deputy Secretary of the Ministry of Energy and Mining of the Nation.

Kenneth Hansen, a Washington, DC-based project finance partner, has 30 years of experience representing bilateral, multilateral and commercial lenders, as well as developers in structuring, negotiating, documenting and implementing international project financings, particularly in the energy sector and including many projects supported by partial risk guarantees, political risk insurance and a broad range of government and multilateral agency credit products. Mr. Hansen’s experience with agency finance programs includes, prior to joining Chadbourne, four years as General Counsel of the US Ex-Im Bank and nine years as a transactional lawyer at OPIC. Mr. Hansen has recently represented the International Bank for Reconstruction and Development (World Bank) in the financing of the 450 MW open-cycle gas-fired Azura Power Project in Nigeria. He is currently representing the Inter-American Investment Corporation (formerly, the IDB Private Sector Group) in its proposed financing of Line 2 of the Lima Metro and a fuel storage depot in the Dominican Republic and in an updating of the full suite of the agency’s form documentation for project financings, corporate financings and loans to financial institutions. Mr. Hansen teaches project finance law at Georgetown University Law Center and The Johns Hopkins University School of Advanced International Studies.

In Uruguay it has developed and built 100MW projects and has been involved in more than 50% of all wind and PV projects. Governor George E. Pataki
Former three-term Governor of New York and Counsel at Chadbourne & Parke

Governor George Pataki’s practice focuses on energy, environmental, infrastructure and corporate matters. Prior to joining Chadbourne, he served three terms as the 53rd governor of New York state, from 1995 through 2006. First elected in 1994, he won re-election in 1998 and 2002.

Governor Pataki brings to Chadbourne broad experience in law and public service. He was a partner in the New York law firm of Plunkett & Jaffe until 1987. He was elected mayor of Peekskill, New York in 1981, and served in the New York State Legislature as an assembly man and then a senator from 1985 to 1994 beforebecoming governor.

During his tenure as New York’s chief executive, Governor Pataki advanced award-winning, cutting-edge policies in the renewable energy and environmental fields. His initiatives included the protection of over one million acres of open space, the adoption of the Regional Greenhouse Gas Initiative, the implementation of the nation’s first green building tax credit, landmark brownfield legislation and programs to enhance the production and use of alternative energy like biodiesel, ethanol, fuel cells and clean coal.

In 2007 Governor Pataki served as a United States Representative to the 62nd Session of the United Nations General Assembly. In that capacity he worked in a bipartisan way dealing with numerous foreign ambassadors and heads of state. At Chadbourne, Pataki has worked with business and government leaders in Asia, Europe, South America and North America, helping to bring public and private sector leaders together to advance economic projects. In 2007 he also co-chaired the Independent Task Force on Global Climate Change, a project of the Council on Foreign Relations. The task force addressed US climate change policy with an emphasis on its international dimensions.

Ambassador Julissa Reynoso

Former Deputy Assistant Secretary of State for Central America, Caribbean and Cuban Affairs in the US Department of State, Former US Ambassador to Uruguay and Partner at Chadbourne & Parke

Julissa Reynoso is the former United States Ambassador to Uruguay. Ms. Reynoso also served as Deputy Assistant Secretary of State for Central American, Caribbean and Cuban Affairs in the US Department of State. Prior to joining the US Department of State, Ms. Reynoso practiced at a major international law firm, where she specialized in antitrust law, international commercial arbitration and international investment arbitration. Ms. Reynoso has extensive policy and legal experience throughout Latin America, engaging both as a lawyer in private practice and as a senior US diplomat on behalf of the US government. Her legal experience includes analyzing and advising on complex cross-border transactions and conducting complex arbitrations, including under the major international rules, including ICC and UNCITRAL, and bilateral investment treaty disputes under the Dominican Republic-Central America Free Trade Agreement (DR-CAFTA) and the North American Free Trade Agreement (NAFTA).

Julissa is an active member of several committees of the Hillary for America campaign. Ms. Reynoso is an Adjunct Professor at Columbia University School of Law and a Lecturer at Columbia University’s School for International and Public Affairs. She received a J.D. from Columbia University School of Law, an M.Phil. from University of Cambridge, and a B.A. from Harvard University.

Ximena Talero
Legal Advisor, Structured Finance and Guarantees, The World Bank

Ximena Talero is a highly qualified and experienced project finance lawyer with significant recent in-depth experience in renewable energy projects in Africa, South Asia and Latin America. She is trained in both civil law and common law. She has been developing, structuring, negotiating, documenting and supervising infrastructure project financings in emerging markets for 22 years, and has been representing sponsors, lenders, off-takers and governments.

She started her legal career in Colombia, where she worked for two years as a corporate attorney. After obtaining an LLM in Common Law Studies from Georgetown University, in 1994 she joined Chadbourne & Parke’s Project Finance and Energy Group in Washington DC, where she advised US sponsors developing independent power projects throughout Latin American and the Caribbean, as well as US investors on the acquisition and financing of Latin American electricity assets. While at Chadbourne, she took a six-month leave of absence to work at the Colombian Ministry of Finance and Public Credit, where she led a review of Colombian laws and regulations to identify key obstacles to private investment in infrastructure and was part of the team that designed the “first generation” of Colombian toll roads. In 1998 she joined Freshfields Bruckhause Deringer’s Finance Group, and shortly thereafter was seconded to IFC’s legal department, where she worked on project finance and corporate finance transactions in Latin America and Eastern Europe.

She joined the World Bank in January 2004 as a Senior Counsel in the Co-financing and Project Finance Group to work primarily on private sector guarantee transactions. In January 2010, she was appointed Chief Counsel and Manager of the Co-financing and Project Finance Group, with responsibility for overseeing the legal aspects of guarantee transactions, carbon finance transactions, commercial debt-reduction operations, matters concerning the World Bank’s negative pledge clause and a portfolio of over US$40 billion in trust funds and complex partnership agreements. In September 2012, she became the technical co-head of a newly created group of finance lawyers focused on supporting the scale-up of World Bank guarantees. In addition to working on specific guarantee transactions, she oversaw strategic aspects of the guarantee scale up, supervised legal work handled by the group, and led the legal and policy aspects of a major modernization of the World Bank’s guarantee instrument which significantly liberalized guarantees by extending coverage to non-loan related government payment obligations, and eliminating country-based restrictions. As of March 2016, she has stepped down from her role as technical co-head to focus on working on complex and challenging guarantee transactions in the renewable energy sector.

Margarita Oliva is a member of Chadbourne’s Latin America practice with over 18 years of experience working in the region. Ms. Oliva’s practice concentrates on advising corporations and financial institutions with regard to their financings and commercial transactions across Latin America. Ms. Oliva has extensive experience in project finance matters, representing major multilateral agencies, commercial financial institutions, ECAs and sponsors to structure and negotiate complex, multi-jurisdictional infrastructure and energy transactions. Gian Franco Carassale is a Lead Investment Officer at the Inter-American Investment Corporation, part of the IDB Group. He is responsible for the origination and structuring of infrastructure and energy projects in Latin America and the Caribbean. In that role he has lead the financing of over 500MW in energy projects, including solar, wind and hydropower facilities. Gian Franco also has substantial experience in advising government in structuring bankable renewable energy program, most recently in Uruguay and El Salvador. Mr. Carassale is an economist and graduated from the University of Buenos Aires, Argentina and holds a Master in Finance from Di Tella University, Argentina.

  • Angel Cárdenas, Senior Energy Executive, Corporacion Andina de Fomento (CAF)

Angel Cárdenas is a Senior Energy Executive at Corporacion Andina de Fomento (CAF). In this capacity, his responsibilities include: coordinating the designing and execution of the business plan of the Energy unit that serves 18 countries of Latin America creating new business opportunities in renewable and non-renewable energy sectors; coordinating the identification, design, structuring and evaluation of sovereign and non-sovereign risk loans in business deals and loans (oil, gas, renewable energies) worth US$1 billion; coordinating the liaison at the corporate level with clients and business partners, such as other banks, in the structuring of new business deals; leading the technical supervision and administration of energy projects along with technical experts; and leading the monitoring of the credit quality of the Energy portfolio worth over US$4 billion. He also supported the VP and Senior Director in the designing and structuring of the new Energy Unit with the definition of corporate and regional structures that manages businesses over US$5 billion.

Esteban Uauy, Vice President, Project Finance & Advisory, DNB Bank ASA

Esteban Uauy is Vice President, Project Finance & Advisory at DNB Bank ASA. He has over seven years of banking experience within international banking institutions. He specializes in Renewable Energy project financing and structured finance, having participated and led financings for an aggregate debt amount in excess of US$3.5 billion for a total installed capacity in excess of 2.5 GW. Mr. Uauy received his Master of Science in Finance from Universidad Adolfo Ibañez.

Eduardo Zemborain, Head of Investment Banking and Specialized Industries, ICBC

Eduardo has over 20 years of experience in the Banking industry, developed in BankBoston, Bank of America, Standard Bank and ICBC. Prior to his current position as Head of Investment Banking and Head of Specialized Industries at ICBC Argentina S.A., from 2002 to 2007 he was Head of Special Assets Group (Asset Recovery) for Southern Cone and Andean Region at BankBoston and Bank of America, in charge of the resolution of the distressed portfolio of the Bank following the Argentine 2002 Crisis. Prior to that, Eduardo performed different activities in the Corporate and Investment Banking, Risk Management and Retail Banking, including the role of Credit Desk Officer for the Southern Cone and Andean Region at BankBoston N.A. (Boston, Massachussets), where he also got a Certificate in BA at Harvard University Extension School. Eduardo holds both US and Argentine citizenships and lives in Argentina with his wife and kids. Recent transactions closed by ICBC include the $520m A/B IFC A/B Loan for Panamerican Energy, $420m IFC A/B Loan for Axion and $700m Bridge Loan for Pampa Energía.

Raphael Dumas, Director, Infrastructure & Real Estate Group, HSBC

Raphael is a Director in the Project and Export Finance team of HSBC based in New York, covering the Americas. Raphael has been originating and executing project finance deals for approximately nine years, with a primary geographic focus on Mexico, Colombia, Peru and Chile. Raphael has been involved in multiple high profile deals in Latin America in the energy (power generation and transmission lines), infrastructure (roads, airports and ports) and oil and gas sectors (e.g. refineries). Prior to this, Raphael was an M&A investment banker for eight years in Paris with HSBC and Donaldson Lufkin & Jenrette (acquired by Credit Suisse). Raphael is French and he has lived in Europe, South East Asia, and the Americas. He is a graduate from HEC School of Management in Paris. He is fluent in French, Spanish and English.

Rubén Turienzo is the Comercial Director of Sales at Pampa Energía S.A. Rubén has over 20 years of experience in the power generation sector. Prior to working at Pampa Energía S.A, he was the Commercial Manager at Hidroelectrica Piedra del Aguila S.A. and Central Puerto S.A. He was also Director in CAMMESA representing the Generadores from 1999 to 2004 and served for seven years as President of AGEERA (Association of Generadores). Ruben is currently the Vice President of this Association. Juan Bosch, President, SAESA

Juan Bosch is a lawyer specializing in administrative law and energy. He currently acts as President of SAESA, an Argentine company with over 10 years experience within the energy sector. SAESA specializes in the commercialization of natural gas and electric energy. Within the renewable energy sector, SAESA has developed a commercial and logistics platform that allows the delivery of valuable energy related products in a trustworthy and economically attractive manner to its clients. In a complex and competitive industry where large, international companies lead, SAESA has found its place and good recognition due to its determination when it comes to establishing long-term healthy relationships and by always fulfilling its assumed agreements. SAESA has, among its portfolio of clients and providers, companies ranging from small and medium domestic enterprises covering all industrial sectors to large multinational companies. SAESA periodically organizes a renewable energy event titled “The Upcoming Energy” with key players in the area and the principal actors in the industry.

Nicolas Bin, Director, Siemens Energy

Nicolas Bin is the Country Division Lead, Head of the Wind Power & Renewable Division for Siemens Argentina. He is responsible for Field and Technical Sales in Chile, Peru and Colombia. Between 2009 and 2012 he was responsible for Strategy and Business Development for Renewable Energy Portfolio in Argentina. In this role, he followed government policies that impacted the renewable energy market and Siemens’ product portfolio. Prior to this position, he was Sales manager for the services and maintenance of Siemens Energy’s combined cycle power plants in Argentina. Nicolas is currently Vice President of CADER (Argentine Renewable Energies Chamber) since 2013. Nicolas received his Industrial Engineering degree from ITBA.

· Diego Rausei, Head of Project Finance & Capital Markets for South Cone, GE Renewable Energy

Diego is the Head of Project Finance & Capital Markets for South Cone at GE. Since 2014, he has been responsible for the structuring and execution of financings for GE clients across the region, including debt and equity instruments in both local and international capital markets.

He has more than 12 years of experience in investment banking and capital markets, with experience in mergers and acquisitions, acquisition financings, leveraged buyouts, project finance and international debt structuring among others.

Before joining GE, Diego held different positions at Exxon in Argentina, Deloitte Corporate Finance in Chile and BNP Paribas in New York.

Having completed his MBA, Diego joined BNP Paribas Investment Banking Division in New York. He worked for seven years as an Associate and then as Vice President in the Acquisition Financing and Loan Capital Markets group for Latin America, structuring, and executing cross border financings totaling more than US$12 billion. Diego held responsibilities across the deal process such as the origination, structuring, presentations to investment committees, preparation of information memoranda, negotiations of credit agreements and underwriting positions on the Latam Balance Sheet. He has worked with clients such as ENAP (Chile), Cencosud (Chile), Sigdo Koppers (Chile), Corpbanca (Chile), Banco Itau (Brazil and Chile), Embraer (Brazil), Gerdau (Brazil), Pemex (México), Sigma Alimentos (México), YPF (Argentina) and Pan American Energy (Argentina).

Diego holds an MBA from Columbia Business School in New York and a degree in Industrial Engineering from Instituto Tecnológico de Buenos Aires. He held a U.S. securities representative license (Series 7 and 63) for more than five years.

Horacio Reyser
Adviser to the President, Foreign Investment — Office of the President — Republic Argentina

Horacio Reyser is the Advisor to President Mauricio Macri, Foreign Investment. Before joining the National Government in December 2015, Mr. Reyser worked for 17 years at Southern Cross Group, one of the largest independent investment firms in Latin America, where he became Senior Partner and member of the Executive Committee and the Investment Committee. Mr. Reyser began his career in financial planning at Tenaris, a manufacturer of steel pipes, a subsidiary of Techint Group of Argentina. Later, he worked at Ternium, the flat steel products division of Techint, where he worked on various operational projects and on strategic acquisitions made by subsidiaries of Techint Group. Later, Mr. Reyser worked at INFUPA — a regional M&A firm based in Buenos AHires. He has been a member of the boards of several companies in Latin America, such as Juncadella Prosegur International S.A., Prosegur Argentina S.A. Compania General de Combustibles SA, The Value Brands Company S.C.A. (Plusbelle brands, Zorro and Limol), Brinox (Brazil) and Ultrapetrol, among others. He has also served as interim CEO in companies controlled by Southern Cross Group. Mr. Reyser received his degree in Industrial Engineering from the Technological Institute of Buenos Aires (ITBA) and completed the Advanced Management Program at Harvard Business School.
