My personal review
This advanced job simulation falls under the category of law functions and consists of four tasks to be completed sequentially.
Task 1: Kicking off the deal
Task 2: Transaction documentation
Task 3: Warranties
Task 4: Nearing completion
In this simulation, it is assumed that my role a junior associate specializing in corporate law. Responsibilities include reviewing paper transactions, drafting contracts, verifying agreements, and documenting each process to ensure clear and concise agreements are achieved.
In Task 1, you will draft the heads of terms, and any changes made should be recorded. Task 2 involves understanding the importance of due diligence and drafting a Share Purchase Agreement (SPA) — a contract outlining the terms and conditions of the sale of shares in the Target, with sudden changes in agreement scenarios taken into account.
For Task 3, your communication skills will be put to the test. After learning about warranties, you will draft one. Once confirmed for accuracy, you will then call the client. At this stage, I had to craft my own speech and record my voice as if I were speaking directly to the client, addressing the issue at hand while Task 4 includes a common task for junior lawyer, that is for me to prepare the stock transfer forms for the transaction.
Overall, this simulation did challenge not only my editorial skills but also my ability to effectively communicate to ensure precise agreement contracts are delivered.
I gained valuable insights and broadened my perspective on what it’s like to work as a junior associate specializing in corporate law, particularly in Private Equity and Mergers & Acquisitions at BCLP on Forage.
