So Hornsey bascially kissed off her responsibilities as outlined by the Sarbanes Oxley Act “Sarbanes-Oxley Act: HR’s Role in Ensuring Compliance and Driving Cultural Change” (source: http://www.section404.org/UserFiles/File/research/28_HRs_Role_In_SOX.pdf) and you, along with other investors, didn’t bother to periodically measure her performance to that mandate?
