Freebies: Financing Documents for Startups

I love a good discount. I love a free item even more.

Cooley has just open sourced the legal documents required to do a Series Seed or Convertible Note financing.

If you don’t know much about Cooley, read about them on Wikipedia.

The 500 Startups KISS and Y-Combinator SAFE notes are conveniently available on the internet, but the Cooley documents take it a step further. As a founder, you can generate these additional documents:

  • Term Sheet
  • Investor Suitability Questionnaire
  • Board Consent

These documents will help entrepreneurs better understand the game of financing and decision making. However, I am not of the opinion that founders should use these free documents without engaging a legal professional at all. There is value in having a professional assisting you, even at early stage. In addition, US/UK based companies will find these documents useful as it is crafted for legal jurisdiction in those areas.
