Membership Terms of Service

Definitions. In these Membership Terms, a person who runs a publication on Medium is called a “publisher,” and a person who pays to receive Membership Services from a publication is called a “member” of that publication.
Medium Is Just the Platform. The Membership Services facilitate payment to publishers of content by members who are willing to pay for that content. Each publisher – not Medium – is solely responsible for meeting its members’ expectations concerning the content it provides, including with respect to frequency, quality, fluctuations in price or content availability, and conformity with other reasonable expectations. Medium is not responsible for monitoring what content publications provide to their members. But Medium does have the right to enforce its General Terms and the incorporated rules and policies, including by removing locked content without permission or prior notice. The Membership Services don’t create an agency, partnership, or any other kind of legal relationship between a publisher and Medium, or between a member and Medium; the relationship is limited to that created by these Membership Terms.
Recurring Membership Fees. Membership fees are recurring monthly payments from a member to the publisher. Each publisher may set a particular membership fee, or a minimum membership fee, in the amount of its choice. Medium may receive part of any payment made by a member to a publisher. Membership begins upon payment of a first monthly installment of membership fees. The membership renews monthly upon the payment of automatically recurring monthly membership fees, which are charged on the same day of the month that the membership began. (If a membership began on the 29th, 30th, or 31st day of a month, then membership will renew on the last day of any month that doesn’t have that many days.)
Cancellation, Refunds, and Chargebacks. Either a publisher or a member may cancel a membership at any time. A member can cancel their membership through their account’s “Publications” page. Membership fees paid are final and nonrefundable, unless otherwise determined by the publisher, but the member will still have access to the Membership Services from the time of cancellation until the member’s next payment would have occurred. However, if Medium reasonably determines that a member has violated these Membership Terms, Medium may immediately terminate the membership and the member’s access without notice and without refund. Refund requests should be directed to firstname.lastname@example.org. The publisher is responsible for the cost of any chargebacks related to its publication. To the extent Medium makes an outlay for a chargeback related to a publication, the publisher will pay Medium the cost of that chargeback and all applicable fees.
Rights and Responsibilities of Membership. A member has the ability to view all of a publication’s locked posts. A member’s right to access locked posts includes only personal, non-commercial use. When a membership terminates, so does the member’s access to all locked posts (including locked posts that were accessible during the membership). A publisher may also send members-only letters to members, or provide other premium services.
A member may not: (1) use the Membership Service in an illegal manner or for an illegal purpose; (2) share access to their Medium account with someone else to allow them to access any Membership Service that such person did not order; (3) copy, sell, rent, or sublicense the Membership Services to any third party; (4) circumvent, reverse-engineer, modify, disable, or otherwise tamper with any security technology that Medium or Stripe uses to protect the Membership Service or encourage or help anyone else to do so; (5) access the Membership Service other than by means authorized by Medium; or (6) remove any proprietary notices or labels on Membership Services.
Payment Processing Details. To make membership payments, a member must maintain a valid credit card with available funds. Credit card payment processing services are provided by Stripe. Medium facilitates the user’s payment of the applicable membership fee on behalf of the publication, but Stripe – and not Medium or the publisher – receives and stores member credit card information, so Stripe’s privacy and security policies apply to that data. Medium is not responsible for the performance of Stripe.
- Publishers: You’ll need an account with Stripe to receive membership payments. Your use of that account is subject to Stripe’s various terms of service, which may be modified from time to time by Stripe. As a condition to Medium enabling credit card payment processing services through Stripe, you agree to provide Medium accurate and complete information that we request about you and your business, and you authorize Medium to share any such information with Stripe, as well as transaction information related to your use of the payment processing services provided by Stripe. Standard credit card or other third-party processing fees apply, as well as any service fees. You (not Medium) are responsible for any chargebacks.
Taxes. If you have questions about tax obligations in connection with making or receiving membership payments, you should consult a professional tax advisor.
Changes or Discontinuation of Membership Services. Medium reserves the right to change the availability of Membership Services, or to modify, suspend, or discontinue any Membership Service with or without notice. Medium will not be liable for any such modification, suspension, or termination.
Indemnification (publishers only). By offering content via the Membership Services as a publisher, you agree to indemnify Medium against all claims and liabilities arising from or relating to your conduct relating to the subject matter of this Agreement.
Arbitration of Disputes and Waiver of Right to Participate in Representative Action. Any dispute between you and Medium arising out of or relating to these Membership Terms (including any determination of the application of this arbitration provision) shall be determined by individual arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. (This modifies the Jurisdiction provision of the General Terms, as well as the Severability provision to the extent it references a court.) If JAMS is unwilling or unavailable to administer the arbitration, the parties will jointly select another alternative dispute resolution service provider with a comparable level of expertise. If a dispute arises, Medium encourages you to send an email describing the issue to email@example.com to try to resolve it informally. Judgment on the arbitration award may be entered in any court having jurisdiction.
This arbitration provision has only one exception: if a small claims court would have jurisdiction over your claim, you may pursue it there instead of in arbitration.
By agreeing to these Membership Terms, you and Medium each waive the right to participate as a plaintiff or class member in any purported class action or representative proceeding against the other.
Miscellaneous. These Membership Terms replace all previous or current agreements between you and Medium relating to publication membership. Except as modified by these Membership Terms, Medium’s General Terms remain in full force and effect. Medium may revise or modify these Membership Terms at any time.
Further Limitation of Liability. Medium isn’t liable for any damages that arise from your using Medium’s services, as provided in the Limitation of Liability section of Medium’s General Terms. If, notwithstanding the limitation of liability provided in Medium’s General Terms, it is determined that Medium is liable for damages, Medium’s total liability to a member will not exceed the amount of membership fees actually paid by that member, and Medium’s total liability to a publisher will not exceed Medium’s share of the total amount of membership fees collected on behalf of that publisher over the 12 month period prior to the filing of the publisher’s claim.
