This Contract is a part of a larger agreement between the Parties (“Larger Agreement”) and governs the specific terms and conditions related to projects and confidentiality.

It’s important to note that this Contract should be read in conjunction with the Larger Agreement to ensure a comprehensive understanding of the rights, responsibilities, and obligations of the parties involved. Any inconsistencies or conflicts between this Contract and the Larger Agreement should be resolved in favor of the provisions outlined in the Larger Agreement.

In summary, while this Contract has its own distinct purpose and sets forth specific terms and conditions, it does not override the main agreement established in the Larger Agreement. The Larger Agreement remains the primary governing document for the parties’ overall relationship, with this Contract serving as a supplemental agreement focusing on matters of monetary gains of Preseed.

This Contract (“CONTRACT”) is entered into between:

Party 1: Preseed Ventures Private Limited, a private limited company having its principal place of business at Ground floor, D/58, Sector P, Aliganj, Lucknow, UP -226024, INDIA, represented by Mr. Nishchal Kesarwani, Director and Founder having DIN 0285.

Party 2: __________________________ (vendor or consultant), a vendor/consultant seeking business leads to expand its client base, having its principal place of business at __________________________. Represented by __________________________, Director having DIN ________________________.

Preseed Ventures Private Limited shall be referred to as the “First Party” and __________________________, referred to as a vendor or consultant, shall be referred to as the “Second Party” throughout this CONTRACT.

LEAD GENERATION

1.1 Lead Generation: The First Party agrees to provide business leads, often referred to as “Preseed associates,” to the Second Party. These leads may be generated through the First Party’s extensive network, marketing efforts, or other means.

1.2 1.2 Revenue Sharing: This matter is the most confidential part of this contract. In consideration of the leads provided by the First Party, the Second Party agrees to pay the First Party an advisory fee as compensation for the significant role played by Preseed Ventures in motivating the Second Party to deliver services at an elevated level. The specific amount or percentage of the advisory fee shall be determined and documented in an email sent by the Second Party to the First Party. This email shall expressly acknowledge the value provided by Preseed Ventures and shall be printed, signed, and attached as an addendum or annexure to this contract, forming an integral part of it.

If the email does not explicitly state the revenue share percentage, the default revenue share shall be deemed to be 50% of the gross revenue generated by the Second Party from the business leads provided by the First Party, unless otherwise specified, acknowledged, and signed in the email as an addendum.

5.1 Term:
This CONTRACT shall commence from the Effective Date and shall remain in force perpetually.

5.2 Termination:
Either party may terminate this CONTRACT with written notice to the other party. In the event of termination, the obligations regarding confidentiality, non-compete, and penalties for disclosure shall continue to be binding upon the parties.

**JURISDICTION AND GOVERNING LAW**

6.1 Jurisdiction:
Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in [specify the city, state, or country where the court is located].

6.2 Governing Law:
