Changes in LLP Incorporation Forms — MCA Notification
Ministry of Corporate Affairs(MCA) has released a notification announcing proposals bringing changes to the existing LLP Incorporation forms set to take effect on October 2, 2018. The new rules are to be called as The Limited Liability Partnership Rules(Second amendment), 2018
The notification mentions insertion of the following in Rule 3 of Limited Liability Partnership Rules, 2009
- Form RUN-LLP(Reserve Unique Name Limited Liability Partnership)
- Form FiLLiP(Form for Incorporation of Limited Liability Partnership)
- Form 5, Form 17 and Form 18
Proposed changes in existing forms
Application for Reservation or Change of Name(Form 1)
- Existing eForm Form 1 will be replaced with LLP-RUN web service
Incorporation document and Subscribers Statement(Form 2)
- Existing eForm Form 2 will be replaced by FiLLiP.
- FiLLiP will integrate multiple services like Allotment of DIN, Reservation of name and Incorporation of LLPs.
Addendum to Form 2 (Details in respect of designated partners and partners of Limited Liability Partnership)
- eForm for Addendum to Form 2 will be replaced by Addendum to FiLLiP
- RUN-LLP SRN will be substituted for Form 1 SRN
- PAN will be allowed in DSC section
Notice for change of name(Form 5)
- Details that were prefilled in the form based on form 1 SRN will be filled in manually by the user.
- RUN-LLP SRN to be substituted for Form 1 SRN in relevant field
Application and statement for the conversion of a firm into LLP(Form 17)
- RUN-LLP SRN to be substituted for Form 1 SRN in relevant field
- PAN is allowed to be entered in DSC section
Application and Statement for conversion of a Private Company/Unlisted Public Company into LLP(Form 18)
- RUN-LLP SRN to be substituted for Form 1 SRN in relevant field
- PAN is allowed to be entered in DSC section
Apart from these, the following things are to be noted with respect to pending applications —
- Form 1 and Form 2 (along with Form 17/18/Addendum) which are currently in pending state, will be marked for resubmission using the new eForms.
- Names that have been approved against which Incorporation isn’t yet done will be allowed to do so using FiLLiP.
- The names which have been approved and against which change of name (Form 5) is not filed till the date of notification of revised forms, shall be allowed to be used to file in revised Form 5.
As mentioned, these changes will take place on October 2, 2018, so it would be a good idea to schedule LLP incorporation activities after the said date as submitted forms will apparently get market for resubmission during this period, which really doubles your work.
