What is XY Equity?
XY Equity is Regulation A+ stock in XY (the company behind the XYO Network). What this means is that when you purchase XY Equity, you’re a shareholder and investor in XY !
Why is XY allowed to sell shares in the company?
XY was founded in 2012, and was qualified by the SEC in 2016 to sell Reg A+ equity. In short, Reg A+ gives companies like XY the ability to offer early stage ownership to customers, supporters, or any other individual. We see this as a win/win for both XY and our customer/owners. Not only does it give us the capital that is needed to sustain our rapid growth, but it also allows our owners to be part of our entrepreneurial experience. It also puts pressure on us, since now we are not only responsible for our own investment of time and money, but also for working every day to get a return for our investors.
What’s the difference between XY and XYO Network?
XY was founded in 2012, and was originally focused on hardware and the sales of its Bluetooth item Finder: the XY Finder. Overall, XY had an overarching goal of making everything in the world “Findable”. Due to this big goal, XY introduced the XYO Network in Q4 of 2017 and Q1 of 2018. The XYO Network now stands as XY’s idea to make world-wide “Findability” happen — the Network serves as a decentralized location oracle for blockchain smart contracts. Blockchain is becoming increasingly popular, as it cuts out the middleman for many transactions.
How much are my shares worth?
XY Reg A+ shares are not currently traded on an exchange; their value is effectively set by whatever a private seller chooses to charge and and a private buyer chooses to pay. We raised our price from $1 per share to $8 per share, a process which requires SEC approval. That’s a price rather than a value but if you wish to use it as a guide for what you would like to charge a buyer, you may do so.
How do I sell my shares?

Since the XY stock is a public equity, you can sell it, will it, or otherwise transfer it whenever you want. The only thing to remember is that there is not an open market for it, so you would have to bring your own buyer for you to be able to sell it.
Do I have to sign an online receipt/document after I purchase my shares?
Most of our investors sign a receipt online after their purchase, and that receipt serves as both proof of investment and a legal document that shows you own Regulation A+ shares in XY. We cannot ship your investor package or any other materials until you sign this receipt. If you would rather sign a physical receipt, you are free to print out the document, and either email firstname.lastname@example.org a copy, or mail the document directly to the following address:

How do I update or change my information?
If you need to change your email, your address, or other information, please email email@example.com with the change you desire to make. Please note that address changes for investor packages may not always be honored immediately as we work to ship out packages as quickly as possible for our investors. This means we may ship out your package before we are able to make the change. Should this happen, you will either need to pick up the package at the original address, have a current resident ship it to you, or if it is returned to us, we will ship it to the updated address.
How is my investment doing?
Many investors want updates on how their shares are “doing”, which normally means the current value of the shares, or essentially, if they’ve been making a profit. XY shares are not traded on a public market, so it is difficult for investors to know precisely how the value of their shares has fluctuated since their initial purchase. However, due to the fact they are not publicly traded, this means that should you find a buyer, you are able to set the price at which you’d want to sell your shares. Currently, the price of our shares is $8 (and this is a price, not a value), but you can feel free to use that as a guide for what price you’d want to set for your buyer. Additionally, you can always check our SEC filings for more insight into the price and value of your XY Equity.

My name is wrong on the receipt I need to sign, how do I fix that?
If this happens, you have two options! The easiest way is to sign the receipt first, and then ask to have the receipt amended with your name change.
- Sign the receipt
- Email firstname.lastname@example.org with a request to have your receipt amended with you name changed. Please put “Name Change Request” as the subject line!
- You are good to go! :)
Alternatively, we can also amend the document and send you a new one instead. Please keep in mind that this will be a manual process, so it will take approximately 2 business days.
I’ve moved/gotten a new email/gotten married/etc. since I invested. How do I get my information updated?
If you need to update any information in your account with us, please email email@example.com with the request!
When will I be added to a Transfer Agent?
You will receive an email in the upcoming months after you sign your initial investment receipt requesting that you create an account with our Transfer Agent. We only update our Transfer Agent quarterly, so please remember that you may not receive this email immediately after investing. Once you receive this email, it is imperative that you create account with the Transfer Agent, should you want to receive any financial benefit or loss associated with your XY Equity.
